I have a question regarding Unreal Engine licensing.
From the licensing documentation, I understand that royalties are generally payable when a product developed using Unreal Engine exceeds $1 million USD in lifetime gross revenue.
However, I would like to understand how the licensing terms apply to a game platform operator such as ourselves.
We operate a gaming platform and provide a free SDK to game developers.
Our SDK does not contain any Unreal Engine code and is a general-purpose SDK that can be used independently of Unreal Engine. We do not develop, publish, or distribute any Unreal Engine-based games or applications ourselves.
Games are developed and distributed entirely by third-party developers. As a platform operator, we receive a revenue share (platform commission) from sales generated through our platform.
In this scenario, could you please clarify the following?
- Would a platform operator such as ourselves have any royalty or subscription obligations under the Unreal Engine license?
- If so, what conditions would trigger those obligations?
- Would the platform commissions (revenue share) we receive be considered revenue attributable to a Royalty Product under the Unreal Engine EULA?
- Or are royalty obligations limited to the developers and publishers of Unreal Engine-based games?
If there are any relevant EULA provisions or guidelines that address this scenario, I would appreciate your guidance.
